PMGC Moves to Acquire Long-Established U.S. PCB Industry Player

PMGC Holdings Inc. (Nasdaq: ELAB) has signed a non-binding Letter of Intent (LOI) to acquire a U.S.-based electronics contract manufacturing company with over 40 years of operational history. The target company specializes in high-precision electrical and mechanical assembly, including printed circuit board (PCB) assembly for commercial and industrial clients across the United States.

The target company reported approximately $699,000 in revenue and $173,000 in adjusted EBITDA in 2024. This marks PMGC's second pending acquisition since April, reflecting momentum in its ongoing M&A strategy.

Founded in the 1980s, the target offers full-service electronics manufacturing, including PCB assembly, functional testing, and component-level inspection. It supports both small-batch production and prototyping  with consignment and turnkey options.

“This company has built a legacy of precision and reliability that defines American manufacturing,” said PMGC CEO Graydon Bensler. “We see strong potential to scale operations and enhance customer acquisition through strategic support and platform integration.”

The acquisition aligns with broader trends favoring domestic electronics production, driven by national policy initiatives such as the CHIPS and Science Act. PMGC sees this deal as a way to participate in the ongoing reshoring movement within the U.S. electronics manufacturing services (EMS) sector.

The transaction is subject to customary closing conditions, including due diligence, regulatory approvals, and the execution of definitive agreements.
